1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Interconnected Software, Inc., a Delaware C-corporation ("Company," "we," "us," or "our"), governing your use of FaxChat at faxchat.app ("the Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Service Description

FaxChat is an online fax sending and receiving service. The Service allows you to:

The Service relies on third-party telecom infrastructure providers for fax transmission. We do not guarantee uninterrupted or error-free service.

2.1 No Emergency Services / No 911 Access

FaxChat is a fax transmission service only. It is not a telephone service and cannot be used to make or receive voice calls.The Service does not support and cannot be used to contact emergency services such as 911 (United States and Canada), 112 (European Union), 999 (United Kingdom), 110/119 (Japan), or any other public-safety answering point or emergency number anywhere in the world. Dedicated fax numbers issued under the Pro plan do not have access to enhanced 911 (E911), basic 911, or any equivalent emergency calling capability.

You acknowledge that you must maintain an alternative means of contacting emergency services (such as a mobile phone with an active wireless carrier service, a traditional landline, or any other 911-capable service) and that you must inform all household members, employees, guests, and other persons who may be present at any location where the Service may be used of the absence of emergency calling capability.

To the maximum extent permitted by applicable law, you waive any and all claims against Interconnected Software, Inc. and its officers, directors, employees, agents, affiliates, and third-party telecom providers arising from or related to the inability to dial 911 or any other emergency number through the Service, including without limitation any claim for death, personal injury, property damage, or any other loss arising from such inability.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration (Pro Plan)

To use Pro plan features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify us immediately of any unauthorized access at [email protected].

5. Pricing and Payment

Automatic Renewal Notice (California residents and where required by law).By subscribing to the Pro plan, you authorize us to charge your payment method on a recurring monthly basis at the then-current rate until you cancel. We will continue to charge your payment method without further authorization from you, unless and until you cancel. You may cancel your subscription at any time through your account settings (a button no harder to access than the signup flow) or by emailing [email protected] from your account email. Cancellation takes effect at the end of the current billing period; you retain access until then. Where required by applicable law (including California Business & Professions Code §17602), we will send a reminder notification by email before each renewal at the address associated with your account. No refunds are issued for partial billing periods.

6. Refund Policy

For pay-per-use faxes, payment is collected before sending. If the fax fails to connect to the recipient's fax machine (wrong number, busy signal, line error, etc.), a full automatic refund is issued. Issues that occur after the recipient's machine has begun receiving the data (e.g., paper jam, toner issues) are not eligible for refund. No refunds are issued after successful delivery.

Pro plan subscription fees are non-refundable for partial billing periods. If you cancel, you retain access through the end of your current billing cycle.

The refund described above is the sole and exclusive remedy available to you for any failure, delay, misdelivery, non-delivery, data corruption, or other malfunction of the Service in connection with a fax transmission. We are not liable for any amounts beyond such refund, except to the extent prohibited by applicable law (including for our own gross negligence or willful misconduct).

User confirmation duty for time-sensitive documents. Fax transmission relies on third-party telecom networks and the public switched telephone network. You acknowledge that non-delivery or delays may occur without fault of either party. For time-sensitive or legally consequential documents (tax filings, court filings, contract acceptances, regulatory submissions, etc.), you are responsible for confirming receipt with the recipient through an independent channel (telephone, email, return-fax confirmation, or registered mail). The Service is not a substitute for certified mail, registered mail, or any other proof-of-delivery service required by law or contract.

You agree not to use the Service to:

We reserve the right to suspend or terminate your access without notice if we determine, in our sole discretion, that you have violated these prohibitions.

8. HIPAA Non-Compliance

FaxChat is not compliant with the Health Insurance Portability and Accountability Act (HIPAA). We do not offer Business Associate Agreements (BAAs). You must not use the Service to send, receive, store, or process protected health information (PHI) as defined under HIPAA. If you are a covered entity or business associate under HIPAA, you must use a HIPAA-compliant fax service. You agree to indemnify and hold us harmless from any claims arising from your transmission of PHI through the Service.

9. TCPA and Junk Fax Prevention Act Compliance

You are solely responsible for complying with the Telephone Consumer Protection Act (TCPA), the Junk Fax Prevention Act, and all other applicable telemarketing and communications laws. You represent and warrant that you have the necessary consent or established business relationship required to send faxes to each recipient. We may cooperate with regulatory authorities investigating potential violations.

10. Intellectual Property

The Service and its original content, features, and functionality are owned by Interconnected Software, Inc. and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of the documents you upload; by uploading, you grant us a limited, temporary license to process the document solely for fax transmission.

11. Logging and Disclosure

To prevent misuse and comply with applicable laws, we log the following information:

We may disclose this information in response to valid legal process, including subpoenas, court orders, or requests from law enforcement agencies.

12. Usage Limits

To prevent abuse, pay-per-use fax sending is limited to 10 transmissions per IP address per day. Pro plan subscribers are subject to the page limits of their plan. We reserve the right to adjust these limits or impose additional restrictions at any time.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE ARE NOT LIABLE FOR DELAYS, NON-DELIVERY, MISDELIVERY, OR DATA CORRUPTION IN FAX TRANSMISSIONS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INTERCONNECTED SOFTWARE, INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless Interconnected Software, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) the content of any fax you send or receive through the Service.

16. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation by contacting us at [email protected]. If the dispute cannot be resolved informally within 30 days, either party may initiate binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English in Wilmington, Delaware. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. Termination

We may terminate or suspend your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination shall survive, including but not limited to Sections 13–16 and 18–22.

18. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

20. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy and Legal Notice, constitute the entire agreement between you and Interconnected Software, Inc. regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

Pro plan subscribers are assigned a dedicated US fax number, provisioned through our underlying telecom carrier (Telnyx). The following terms apply to all dedicated numbers:
